Engagements for consulting services are governed separately by individually negotiated written Service Agreements; in the event of a conflict between these Terms and an executed Service Agreement, the Service Agreement controls for the matters it covers.

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use this Site. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Use of the Site

IN ANY EVENT, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). LIABILITY ARISING OUT OF SERVICE ENGAGEMENTS IS GOVERNED SEPARATELY BY THE APPLICABLE SERVICE AGREEMENT.

You agree to indemnify, defend, and hold harmless North Scale Corp LLC, its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any rights of another party.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Modification of Terms

We may modify these Terms at any time. When we do, we will update the "Last updated" date above. Material changes will be effective upon posting. Your continued use of the Site after we post modifications constitutes acceptance of the modified Terms.

11. Governing Law and Venue

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Bernalillo County, New Mexico, and you consent to the personal jurisdiction of those courts.

12. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy and any individually executed Service Agreement, constitute the entire agreement between you and North Scale concerning the Site and supersede all prior or contemporaneous communications.
